Partners does not represent or warrant that the information accessible via the Site (including links to third party websites) is accurate, complete, or current. Partners accepts no responsibility or liability whatsoever with regard to the information on this site. The service provided by the Site ("Service") is provided on an "as is" and "as available" basis.

Partners expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Any material streamed, viewed, downloaded, or otherwise obtained through the use of the Site is done at your own discretion and risk. You expressly agree that you will be solely responsible for any damage to your computer system or loss of data that results from your access to such material.

2. Use of Service

The Service is not available to minors under the age of 18 or to any users suspended or removed from the system by Partners for any reason.

To the extent that the Service includes forms, documents, or software to be downloaded to your computer (collectively, "Software"), the Software is considered part of the Service, and you may use the Software on a computer system only if you own the system or have the permission of the owner. You may not alter the Software or associated data files. Distribution of the Software is prohibited.

Users of the Site can become Members with the ability to use any of the bulletin boards that are, or will be, hosted by Partners, in order to post information and to reply to posted information. In order to become a Member, users must set up an account with Partners.

In consideration of your use of the Service, you agree to: (a) provide true, accurate, current, and complete information about yourself as prompted when applying for an account (such information being the "Registration Data") and (b) maintain and promptly update the Registration Data to keep it true, accurate, current, and complete. If you provide any information that is untrue, inaccurate, not current, or incomplete, or the Site has reasonable grounds to suspect that such information is untrue, inaccurate, not current, or incomplete, the Site has the right to suspend or terminate your account and refuse any and all current or future use of the Service (or any portion thereof). It is permissible to use a pseudonym for purposes of registering for and utilizing this site. However, an accurate email address and phone number must be provided during the registration process. By registering for an account, you expressly permit Partners to use your Registration Data pursuant to its Privacy Policy, which can be accessed here.

3. Member Account, Password and Security

You will be required to create an account with a distinct user identification ("user id") and password to post to any bulletin boards that are, or will be hosted by Partners. You are responsible for maintaining the confidentiality of your user id and password, and are fully responsible for all activities that occur under your user id or account. You agree to: (a) immediately notify the Site of any unauthorized use of your user id, password, or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session. Partners cannot and will not be liable for any loss or damage arising from your failure to comply with this Section.

4. User and Member Conduct

You understand that all information, data, text, software, music, sound, photographs, graphics, video, messages, or other materials ("Content"), whether publicly posted or privately transmitted, are the sole responsibility of the person from which such Content originated. This means that you, and not the Site, are entirely responsible for all Content that you upload, post, email, transmit, or otherwise make available via the Service. The Site does not control the Content posted via the Service and, as such, does not guarantee the accuracy, integrity, or quality of such Content. You understand that by using the Service, you may be exposed to Content that is offensive, indecent, or objectionable. Under no circumstances will the Site be liable in any way for any Content, including, but not limited to, any errors or omissions in any Content, or for any loss or damage of any kind incurred as a result of the use of any Content posted, emailed, transmitted or otherwise made available via the Service.

You further agree that you will not use the Service to upload, post, or otherwise distribute or facilitate distribution of any Content that is: (1) libelous, defamatory, or slanderous; (2) is sexually suggestive or contains explicit sexual content (including nudity); (3) does or may denigrate or offend any individual or group on the basis of religion, gender, sexual orientation, race, ethnicity, age, or disability; (4) does or may threaten abuse, harass, or invade the privacy of any third party; (5) infringes the rights of any third party, including without limitation, patent, trademark, trade secret, copyright, right of publicity, or other proprietary rights; (6) condones, promotes, contains, or links to warez (sites for trading unlicensed software), cracks (sites for creating unlicensed software keys), hacks (sites that promote unauthorized and often illegal tampering with other sites or software), or similar utilities or programs; (7) constitutes unauthorized or unsolicited advertising, junk or bulk e-mail (also known as "spam"), chain letters, any other form of unauthorized solicitation or any form of lottery or gambling; (8) contains a software virus or any other computer code that is designed or intended to disrupt, damage, or limit the functioning of any software, hardware, or telecommunications equipment, or to damage or obtain unauthorized access to any data or other information of any third party; (9) impersonates any person or entity, including any employee or representative of Partners; or (10) violates any applicable law or these Terms of Service. You agree that the Service depends upon truthful representations from its users, and that you will not misrepresent any demographic or personal information during registration, nor in any uploaded, posted, or distributed Content. You agree that you will not collect information about third parties via the Service or use any such information for the purpose of transmitting or facilitating the transmission of unauthorized or unsolicited advertising, junk or bulk e-mail, chain letters, or any other form of unauthorized solicitation. You agree that you will not engage in the systematic retrieval of data or other content from Partners to create or compile, directly or indirectly, a collection, compilation, database or directory, without Partners' prior written consent.

You acknowledge and agree that the Site may preserve Content and may also disclose Content if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce the Terms of Service; (c) respond to claims that any Content violates the rights of third-parties; or (d) protect the rights, property, or personal safety of the Site, its users, and the public.

5. Monitoring and Enforcement

While Partners has the right to monitor activity and content associated with the Service, it is not obligated to do so. And since it does not, and may not, have the ability to control or actively monitor content, Partners does not guarantee its accuracy, integrity, or quality. Partners may investigate the complaints and violations of its policies that come to its attention and may take any action that it believes is appropriate, including, but not limited to issuing warnings, removing the content or terminating accounts and/or subscriptions. However, because situations and interpretations vary, Partners also reserves the right not to take any action.

6. Intellectual Property Ownership and Rights

Partners owns and/or licenses all right, title and interest in and to the Service and all materials and content contained therein, including, without limitation, site design, logos, button icons, images, digital downloads, data compilations, text, and graphics. All such materials and content are protected by copyright, trademark, and other intellectual property laws. Any unauthorized use of the materials provided as part of the Partners Service is strictly prohibited.

If you post any Content to the Service you hereby grant Partners and its affiliates and licensees a worldwide, royalty-free, perpetual, irrevocable, non-exclusive right and license to use, reproduce, publicly display, publicly perform, modify, sublicense and distribute such Content, and incorporate it in other works, in whole or in part, in any manner and any media now known or hereafter developed. You represent and warrant that you own such Content or otherwise have sufficient rights in the Content to grant Partners the license set forth in this section without infringing or violating the rights of any third party.

Partners provides links to third party websites for your convenience only. Partners does not endorse, recommend, or provide any warranties regarding the third party websites, or the services provided therein. You agree that Partners has no obligation to review any of the third party links or sites and is not responsible for any content of any of the linked sites.

8. Indemnification

By accepting these Terms of Service, you agree to indemnify and otherwise hold harmless Partners, its officers, employees, agents, subsidiaries, affiliates and other partners from any direct, indirect, incidental, special, consequential or exemplary damages resulting from (i) any statements you make anywhere on the Site, including the bulletin boards; (ii) your use of the Service; (iii) unauthorized access to or alteration of your communications with or through the Service; or (iv) any other matter relating to the Service.

You understand and agree that Partners may disclose information if required to do so by law or in the good faith belief that such disclosure is reasonably necessary to comply with legal process, enforce the Terms of Service, or protect the rights, property, or safety of Partners, its users, and the public.

9. Termination

In its sole and absolute discretion, with or without notice to you, Partners may (1) suspend or terminate your use of the Service, or (2) terminate your account. You may terminate your account for any reason by contacting Partners at . Partners shall not be liable to you or any third party for any claims or damages arising out of any termination or suspension of the Services.

10. Limitation on Liability

11. Applicability of Disclaimers; Exclusions and Limits

BECAUSE SOME JURISDICTIONS DO NOT ALLOW FOR THE EXCLUSION OF DAMAGES, PARTNERS' LIABILITY IN SUCH JURISDICTIONS SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY THE LAW OF SUCH JURISDICTION. IN ADDITION, BECAUSE SOME JURISDICTIONS DO NOT PERMIT THE DISCLAIMER OF CERTAIN WARRANTIES, THE DISCLAIMERS SET FORTH ABOVE MAY NOT APPLY TO YOU.

12. General

These Terms of Service and the relationship between you and Partners shall be governed by the laws of the United States and the State of California without regard to its conflict of law provisions. Any action or proceeding arising from, relating to or in connection with these Terms of Service will be brought exclusively in the federal or state courts located in Los Angeles, California, and you irrevocably consent to the personal jurisdiction of such courts. No failure or delay by Partners in exercising any right, power, or privilege under these Terms of Service will operate as a waiver thereof, nor will any single or partial exercise of any right, power, or privilege preclude any other or further exercise thereof or the exercise of any other right, power, or privilege under these Terms of Service. The invalidity or unenforceability of any provision of these Terms of Service will not affect the validity or enforceability of any other provision, all of which will remain in full force and effect. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of, related to or connected with the use of the Service or these Terms of Service must be filed within one (1) year after such claim or cause of action arose or be forever barred. The section title in these Terms of Service are for convenience only and have no legal or contractual effect. These Terms of Service represent the entire understanding of the parties regarding its subject matter, and supersede all prior and contemporaneous agreements and understandings between the parties regarding its subject matter.
